Apple Springs High School Alumni Association and/or
Apple Springs High School Old Timers Association
The purpose of the Apple Springs High School Alumni Association (also known as the Apple Springs High School Old Timers Association) is to help Apple Springs High School graduates acquire higher education, to hold meetings for the purpose of preserving old friendships, and to help the school prosper in any way that the groups can.
BY-LAWS
Article I
The President shall preside at all meetings and may call a meeting of the board of directors when needed. He (or she) shall perform all other duties that pertain to the Office of the Present or duties that are delegated to the president by the board of directors.
Article II
The vice-president shall in the absence or disability of the president perform the duties usually performed by the president and any other duties delegated to him (or her) by the board of directors.
Article III
The secretary-treasurer shall have custody of all the money and securities of the association. A regular set of books will be kept and minutes of all meetings shall be recorded of the membership meeting as well as all meeting of the board of directors. All moneys of the association shall be deposited by the secretary-treasurer in such depository as selected by the board of directors. Check signing authority is limited to the directors, the secretary-treasurer, vice-president, and one other board member. The president or vice president may sign in the absence of the secretary-treasurer. Al least four board members should be authorized to sign checks and any two (2) authorized signatures shall be sufficient on a check. No bond is required for any of these officers.
Article IV
The board of directors shall consist of at least four members (4) but not to exceed six (6). A majority present shall constitute a quorum. Directors shall be appointed by the board and all members informed. All volunteers are welcome and will be considered.
Article V
Regular meetings of the Board of Directors are to be held at such time as the board may determine. Directors shall be informed of the date, time, and place of the meeting. Meetings will be held at a central place in or near Apple Springs, Texas.
Article VI
The association shall conduct its business as a non-profit organization and be registered with the Internal Revenue Service as such. The organization is also incorporated with the State of Texas. Donations and gifts shall be the main source of income as well as other legitimate money making activities approved by the Board of Directors and the general body of the association.
Article VII
There shall be a regular meeting of members usually on a date, time, and place agreed upon by the Board of Directors and membership to transact any business that may be properly brought before it. At least twenty-one (21) days written notice of the annual meeting shall be sent to the membership indicating the date, time, place, and purpose of such annual meeting, and shall address and mail the notice to each member to the last known address.
No part of the net earnings of the association shall insure benefit or, or be distributable to its members, trustees, officers, or other private persons, except that the association be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article III (3) No substantial part of the activities of the association shall be carrying on of propaganda, or otherwise attempting to influence legislation, and the association shall not participate in, or intervene in any political campaign on behalf of or in opposition to any candidate for public office. The association will not carry out any activities prohibited by an association exempt from federal income tax under the Internal Revenue Code.
Article VIII
The business of the association will be handled by the board of directors, the president presiding or the vice-president in the absence of the president. All officers shall serve without compensation. No bond will be required of any of the officers or directors.
Article IX
The fiscal year of the association shall be from January through December.
Article X
Minutes and reports of the association shall be available to the members of the association.
Article XI
Scholarships will be awarded to graduates of the Apple Spring High School on an academic or vocational basis. To qualify, the student must be a full time student of at least 12 semester hours and maintain a 3.0 average. Applicants may apply each semester. Applicants must apply directly to the college or university that administers the scholarship.
Note: At the present time three scholarships have been endowed by the ASHS Old Timers Association.
*Applicants must apply directly to Angelina College in Lufkin, Texas, for the “Evie Hutson Memorial Scholarship” and/or the "Wilma Barton Rosansky Memorial Scholarship." Applicants must apply directly to Stephen F. Austin State University in Nacogdoches, Texas, for the “Elma and Thomas Lee Martin, Sr. Memorial Scholarship”. All three of these scholarships are perpetual and will be awarded only when money is available. No scholarships will be awarded by the board of directors. All three Scholarships were endowed under the leadership and guidance of the Apple Springs “Old Timers” Association.
*Additional Scholarships may be endowed by depositing a total of no less than $5,000 in the appropriate college or university scholarship fund and competing scholarship donor information.
*The creation of additional scholarships may be considered during any regularly scheduled board of directors meeting and/or meeting of the membership of the association.
